1. Introduction and Acceptance
Welcome to Dronavid Technologies ("Dronavid," "we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of the Dronavid platform, including our logistics dashboard, autonomous drone dispatch services, API integrations, and all related services (collectively, the "Services").
By registering for an account, executing a partnership agreement, or otherwise accessing our Services, you ("Client" or "you") agree to be bound by these Terms. If you are entering into these Terms on behalf of a company, you represent that you have authority to bind that entity. If you do not agree, you must not use our Services.
2. Definitions
- "Client" — A business or enterprise entity that has entered into a partnership agreement with Dronavid.
- "Delivery Mission" — A single autonomous drone dispatch from a pickup coordinate to a delivery coordinate, scheduled through the Dashboard.
- "Dashboard" — Dronavid's web-based logistics management platform for scheduling, tracking, and managing Delivery Missions.
- "Payload" — Any physical item transported via Dronavid's drone fleet on behalf of a Client.
- "Operational Zone" — Geographic areas within which Dronavid is licensed and authorized to operate.
- "SLA" — A Service Level Agreement specifying delivery time targets and reliability benchmarks.
- "Airspace Regulations" — NCAA, NAMA, and all applicable air navigation orders governing UAV operations in Nigeria.
3. Eligibility and Account Registration
The Services are available exclusively to registered business entities. By registering, you represent that you are a duly incorporated business, have full legal authority to enter these Terms, and will use the Services only for lawful commercial purposes.
Registration requires: valid CAC Certificate or equivalent, designation of an authorized account administrator, acceptance of applicable pricing and SLA terms, and approval of operational zones relevant to your facilities.
You are responsible for maintaining Dashboard credential security and must notify us immediately of any suspected unauthorized access at contact@dronavid.com.
4. The Services
What Dronavid provides:
- Precision Delivery Dispatch — Scheduling Delivery Missions to exact GPS coordinates, including facility-level targeting (hospital wings, bank vault access points, warehouse bays, oil facility zones).
- AI Route Optimization — Real-time routing calculating the safest, fastest aerial paths for each mission.
- Live Tracking — Real-time flight monitoring and delivery status through the Dashboard.
- Digital Confirmation — Electronic proof of delivery with timestamps, location data, and handoff verification.
- Operational Integrations — API connectivity linking Dronavid with your internal scheduling, inventory, and fulfillment systems.
Current Operational Zones (Lagos): Lekki Phase 1, Lekki Phase 2, Victoria Island, Chevron, Ikoyi.
Zones may expand or be temporarily restricted based on regulatory approvals, weather, or airspace management. Dronavid will provide reasonable advance notice of material changes.
Service availability may be affected by: adverse weather, NCAA/NAMA airspace restrictions, scheduled maintenance, or force majeure events. Dronavid targets 99.97% flight reliability and will use commercially reasonable efforts to minimize disruptions.
5. Client Obligations
5.1 Permitted Payloads
The following are strictly prohibited as Payloads:
- Narcotics, controlled substances, or illegal goods
- Firearms, ammunition, explosives, or weapons
- Live animals or biological specimens not pre-approved under a laboratory services agreement
- Hazardous materials, flammable liquids, or corrosives without an applicable industrial addendum
- Cash, negotiable instruments, or bearer securities without execution of Dronavid's secure financial logistics addendum
- Items exceeding the per-mission liability cap without prior written declaration and insurance
Dronavid may inspect, refuse, or return any suspected prohibited Payload. Clients are fully liable for all costs, damages, fines, and legal consequences arising from dispatching prohibited Payloads.
5.2 Accurate Coordinates
Clients must provide accurate pickup and drop-off GPS coordinates. Dronavid is not liable for failed or misdirected deliveries caused by incorrect coordinates.
5.3 Landing Zone Compliance
Clients must maintain compliant landing zones per Dronavid's Landing Zone Guidelines, including: minimum clear area dimensions, obstacle-free approach corridors, maintained landing markers, and safe personnel distances during drone operations.
5.4 Regulatory Cooperation
Clients in regulated industries (healthcare, pharma, banking, oil and gas) are solely responsible for ensuring their use of the Services complies with all applicable sector regulations including NAFDAC, CBN, NUPRC, and Federal Ministry of Health requirements.
6. Pricing, Billing, and Payment
Pricing is as agreed in your enterprise partnership agreement or displayed in the Dashboard at scheduling. Dronavid may revise pricing with 30 days' written notice.
Invoices are issued per the agreed schedule and payable within 14 days of the invoice date. Late balances accrue interest at 2% per month. Services may be suspended for accounts exceeding 30 days past due. Invoice disputes must be raised within 7 days in writing. All fees are exclusive of applicable VAT.
7. Intellectual Property
All intellectual property in the Services — Dashboard software, AI routing algorithms, drone systems, flight data, brand assets — remains the exclusive property of Dronavid Technologies.
You receive a limited, non-exclusive, non-transferable, revocable license to access the Dashboard solely for your authorized internal business operations.
You retain ownership of your business data submitted to the Dashboard. You grant Dronavid a limited license to process this data to provide the Services and improve routing in anonymized, aggregated form.
8. Confidentiality
Both parties agree to keep the other's Confidential Information strictly confidential and use it solely for performing obligations under these Terms. Exceptions apply to publicly available information, independently developed information, or disclosures required by law (with reasonable prior notice where permissible). Confidentiality obligations survive termination for 3 years.
9. Liability and Indemnification
9.1 Dronavid's Liability for Delivery Missions
- Lost or Damaged Payload: Limited to the declared value of the Payload, maximum ₦500,000 per mission unless a higher declared value has been agreed and insured.
- Delivery Delays: Dronavid is not liable for losses caused by weather, airspace restrictions, regulatory orders, or force majeure.
9.2 Exclusion of Consequential Loss
To the maximum extent permitted by Nigerian law, Dronavid is not liable for any indirect, incidental, consequential, or punitive damages, including loss of profit, revenue, business opportunity, or reputation.
9.3 Liability Cap
Dronavid's total cumulative liability to a Client in any 12-month period shall not exceed the total fees paid by that Client in that same period.
9.4 Client Indemnification
You will indemnify Dronavid against all claims, losses, damages, fines, and regulatory actions arising from: submission of prohibited Payloads, inaccurate coordinates, non-compliant landing zones, breach of applicable law, misuse of the Services, or third-party claims connected to your business operations.
10. Safety and Regulatory Compliance
Dronavid operates in compliance with NCAA and NAMA requirements. All drones are registered, maintained, and operated by certified personnel.
In the event of a drone incident, near-miss, or safety concern, Dronavid will notify affected Clients promptly and cooperate with regulatory investigations. Clients must notify Dronavid immediately of any safety concern at their facilities in connection with Delivery Missions.
11. Data and Privacy
Your use of the Services is also governed by our Privacy Policy, incorporated here by reference. Key points: operational data is processed solely to provide the Services; flight telemetry is retained up to 5 years for safety and regulatory purposes; Client operational data is never sold to third parties; enterprise-grade security is maintained including encrypted data transmission.
12. Term and Termination
These Terms remain in effect for the duration of your active partnership agreement. Standard termination requires 30 days' written notice with outstanding invoices remaining payable.
Dronavid may suspend or terminate immediately upon written notice if you: breach these Terms without cure within 7 days, submit prohibited Payloads, become insolvent, or cause Dronavid to violate Airspace Regulations.
Sections 7, 8, 9, 11, 13, and 15 survive termination.
13. Dispute Resolution
These Terms are governed by the laws of the Federal Republic of Nigeria. Disputes will first be subject to 30 days of good-faith negotiation. Unresolved disputes shall be settled by binding arbitration administered by the Lagos Court of Arbitration (LCA), seated in Lagos, conducted in English. Either party may seek urgent injunctive relief from a court of competent jurisdiction.
14. Force Majeure
Dronavid is not liable for delays or failures caused by circumstances beyond our reasonable control including acts of God, extreme weather, government orders, airspace closures, civil unrest, infrastructure failures, or cyberattacks. We will notify affected Clients promptly and restore Services as quickly as reasonably possible.
15. General Provisions
These Terms, together with your partnership agreement, SLA, and Privacy Policy, constitute the entire agreement between the parties. Dronavid may update these Terms with 30 days' notice. If any provision is unenforceable, the remainder continues in effect. You may not assign your rights without Dronavid's written consent.
